CONSENT TO ELECTRONIC RECORD

E-SIGN, the Electronic Signatures in Global and National Commerce Act
(15 U.S.C. § 7001, et seq.), requires that you consent to
entering into an electronic agreement with Solstice International
Partners, LLC ("Solstice International Partners") before an online
version of the Solstice International Partners Independent Business
Owner ("IBO") Agreement is entered into. Please read the following
information carefully.
Should you enter into an online IBO Agreement ("the Agreement"), you
will not be required to submit a paper application. The entire
agreement between you and Solstice International Partners will be
evidenced by an electronic record. To enter into the Agreement, you
must additionally electronically acknowledge that you agree to the
Agreement Terms and Conditions and the Solstice International Partners
Policies and Procedures. To access these documents and enter into the
Agreement, you will need the following hardware and software: A
Personal Computer ("PC") with modem or other Internet access device,
operational Internet browser software (e.g., Netscape Communicator or
Internet Explorer), and Adobe Acrobat Reader. Should there ever be a
change in the equipment or software necessary to access the terms of
the Agreement, Solstice International Partners will advise you of the
same and will provide you with a list of the equipment and software
that is necessary. Upon such event, you may withdraw your consent.
Your consent will apply to all transactions between you and Solstice
International Partners.
As a Solstice International Partners IBO, you will be provided with a
Solstice International Partners replicating website and Back Office.
You may withdraw your consent to the use of electronic records at any
time. However, should you do so, the Agreement will be automatically
terminated. To withdraw your consent (and thereby terminate the
Agreement), or update any personal information, you may do so by
logging into your Back Office and notifying Solstice International
Partners of your election to withdraw this consent or to update your
personal information. Alternatively, you may notify Solstice
International Partners by mailing or emailing written notice to it at
1635 Farm Way, Suite 409, Middleburg, Florida 32068 or
iboservices@mymandura.com. During the enrollment process, you will have
the ability to read, download, print, and retain the Terms and
Conditions and the Policies and Procedures for future reference.
Additionally, you may access these documents through your replicating
website Back Office or obtain printed copies of those documents by
contacting Solstice International Partners at 1635 Farm Way, Suite 409,
Middleburg, Florida 32068 or iboservices@mymandura.com. If you request
these documents by mail or email, your request must include your name,
your IBO identification number, your mailing address, and your E-mail
address. Upon receipt of such a request, Solstice International
Partners will mail you the then current version of each document. There
is a charge of $20 for this service.
By entering into the Agreement, you agree that Solstice International
Partners may amend the same (including the Terms and Conditions and/or
the Policies and Procedures) at its sole discretion at any time. Prior
versions are archived by Solstice International Partners. Should you
wish to obtain a copy of any archived version of the Terms and
Conditions or the Policies and Procedures, send a written request to
Solstice International Partners at 1635 Farm Way, Suite 409,
Middleburg, Florida 32068 or iboservices@mymandura.com. Your request
must include your name, your IBO identification number, your mailing
address, and your E-mail address. Upon receipt of such a request,
Solstice International Partners will mail or email to you a copy of the
version of the Agreement that you requested. Be certain to specify the
date of the version that you wish to receive. There is a charge of $20
for this service. The most current version of the Policies and
Procedures and the Compensation Plan are always available at Solstice
International Partners’ official web site for viewing,
printing and downloading. Please indicate your consent to the above by
clicking on the "I Agree" button below. By providing your consent, you
also confirm that you are able to access all the terms of the Agreement
electronically. If you do not click on the "I Agree" button, the
enrollment process will be terminated and you will be returned to our
home page.

Members: All Global Residual Millionaires (GRM) membership is subject to prior approval. Global Residual Millionaires.com reserves the right to refuse membership to any new or existing member, in its sole discretion, with our without cause. Global Residual Millionaires.com reserves the right to refuse to do business with anyone, at any time, for any reason.
Global Residual Millionaires.com reserves the right, without liability, to reject, omit or exclude any member, webmaster or website for any reason at any time, with or without notice and regardless of any previous conditions.

Terms & Conditions 1. I understand that as a Member of Global Residual Millionaires (GRM): a. I have the right to offer membership services in accordance with these Terms and Conditions. b. I have the right to enroll persons in Global Residual Millionaires (GRM). c. I agree that as a Global Residual Millionaires (GRM) Member I am an independent contractor, and not an employee, partner, legal representative, or franchisee of Global Residual Millionaires (GRM). I agree that I will be solely responsible for paying all expenses incurred by myself, including but not limited to travel, food, lodging, secretarial, office, long distance telephone and other expenses. 4. Upon publication, I will carefully read Global Residual Millionaires (GRM) Policies and Procedures. If I do not agree to the Policies and Procedures, I will immediately send my notice of cancellation to Global Residual Millionaires (GRM) at memberservices@globalresidualmillionaires.com. I understand that I must be in good standing, and not in violation of the Agreement, to be eligible to maintain membership in Global Residual Millionaires (GRM). I understand that the Global Residual Millionaires (GRM)  Policies and Procedures may be amended at the sole discretion of Global Residual Millionaires (GRM), and I agree to abide by all such amendments. Notification of amendments shall be posted on Global Residual Millionaires (GRM)� website. Amendments shall become effective 30 days after publication. The continuation of my Global Residual Millionaires (GRM) membership shall constitute my acceptance of any and all amendments. 5. The term of this agreement is one year (subject to prior cancellation for inactivity pursuant to the Policies and Procedures). If I fail to annually renew my Global Residual Millionaires (GRM) Membership Agreement, or if it is canceled or terminated for any reason, I understand that I will permanently lose all rights as a Member, and I will not be eligible to offer Global Residual Millionaires (GRM) membership services. In the event of cancellation, termination or nonrenewal, I waive all rights of a member. Global Residual Millionaires (GRM) reserves the right to terminate all Member Agreements upon 30 days notice if the Company elects to: (1) cease business operations; (2) dissolve as a business (Website) entity. Member may cancel this Agreement at any time, and for any reason, upon written notice to Global Residual Millionaires (GRM) at its principal business address. Global Residual Millionaires (GRM) may cancel this Agreement for any reason upon 30 days advance written notice to Member. 6. I may not assign any rights under the Membership Agreement without the prior written consent of Global Residual Millionaires (GRM). Any attempt to transfer or assign the Membership Agreement without the express written consent of Global Residual Millionaires (GRM) renders the Agreement voidable at the option of Global Residual Millionaires (GRM) and may result in termination of my membership. 7. The Agreement, in its current form and as amended by Global Residual Millionaires (GRM) at its discretion, constitutes the entire contract between Global Residual Millionaires (GRM) and myself. Any promises, representations, offers, or other communications not expressly set forth in the Agreement are of no force or effect. 8. Any waiver by Global Residual Millionaires (GRM) of any breach of the Agreement must be in writing and signed by an authorized founding member of Global Residual Millionaires (GRM). Waiver by Global Residual Millionaires (GRM)  of any breach of the Agreement by me shall not operate or be construed as a waiver of any subsequent breach. 9. If any provision of the Membership Agreement is held to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable and the balance of the Agreement will remain in full force and effect. 10. This Agreement will be governed by and construed in accordance with the laws of the State of New Jersey, without regard to principles of conflicts of laws. In the event of a dispute between a Member and Global Residual Millionaires (GRM) arising from or relating to the Agreement, or the rights and obligations of either party, the parties shall attempt in good faith to resolve the dispute through nonbinding mediation as more fully described in the Policies and Procedures. Global Residual Millionaires (GRM) shall not be obligated to engage in mediation as a prerequisite to disciplinary action against a Member. If the parties are unsuccessful in resolving their dispute through mediation, the dispute and shall be settled totally and finally by arbitration as more fully described in the Policies and Procedures. Notwithstanding the foregoing, either Party shall be entitled to bring an action before the State or Federal Courts in Newark, New Jersey seeking a restraining order, temporary or permanent injunction, or other equitable relief to protect its intellectual property rights, including but not limited to customer and/or distributor lists as well as other trade secrets, trademarks, trade names, patents, and copyrights. 11. The parties consent to jurisdiction and venue before any federal or state court in Essex County, State of New Jersey for purposes of enforcing an award by an arbitrator, an action by Global Residual Millionaires (GRM) for equitable relief, or any other matter not subject to arbitration. 12. I authorize Global Residual Millionaires (GRM) to use my name, photograph, personal story and/or likeness in advertising or promotional materials and waive all claims for remuneration for such use. 13. I have carefully read the terms and conditions on the back of this application and agreement, the Global Residual Millionaires (GRM) Policies and Procedures. I understand that I have the right to terminate my Global Residual Millionaires (GRM) membership at any time, with or without reason, by sending written notice to the Company at the above listed address or via email at memberservices@globalresidualmillionaires.com. NOTICE OF RIGHT TO CANCEL You may CANCEL this transaction, without any penalty or obligation, within THREE BUSINESS DAYS from the above date (5 business days for AK residents). If you cancel, any property traded in, any payments made by you under the contract or sale, and any negotiable instrument executed by you will be returned within TEN BUSINESS DAYS following receipt by the seller of your cancellation notice, and any security interest arising out of the transaction will be canceled. If you cancel, you must make available to the seller at your residence, in substantially as good condition as when received, any goods delivered to you under this contract or sale, or you may, if you wish, comply with the instructions of the seller regarding the return shipment of the goods at the seller�s expense and risk. If you do make the goods available to the seller and the seller does not pick them up within 20 days of the date of your Notice of Cancellation, you may retain or dispose of the goods without any further obligation. If you fail to make the goods available to the seller, or if you agree to return the goods to the seller and fail to do so, then you remain liable for performance of all obligations under the contract. To cancel this transaction, mail or deliver a signed and dated copy of this Cancellation Notice or any other written notice, or send a telegram, to Global Residual Millionaires (GRM), P.O. Box 767, Morris Plains, New Jersey 07960 NOT LATER THAN MIDNIGHT of the third business day following the date set forth above.
